Standard Agency Framework & Terms

This Creator Representation Agreement establishes the parameters of marketing and commercial sponsorship brokerage between the represented digital artist ("Creator") and **InstagramCelebrities**, acting as the dedicated talent brokerage firm. This agreement ensures that all content deals are legally structured, financially locked in advance, and brokered with mutual professionalism.

1. Brokerage Appointment and Mandate

The Creator appoints InstagramCelebrities to negotiate, broker, and structure brand deals, sponsorships, and paid digital placements on Instagram. Depending on the Creator’s chosen tier (Success-Based or Retainer Sourcing), our brokerage desk coordinates outbound pitches and reviews all incoming sponsorship briefs in a fiduciary, personal talent-agent capacity.

2. Agency Fees and Commissions

In exchange for contract drafting, metrics audit preparation, secure escrow locking, and marketing representation services, InstagramCelebrities retains agency fees strictly calculated from closed campaign payout volumes:

  • Success Tier: 15% commission per deal closed. 85% of net campaign funds are secured directly for the Creator.
  • Retainer Tier: A flat ₹3,000 monthly active outbound fee plus a reduced 10% commission per deal closed.

3. Watertight Payment Escrow Operations

To eliminate credit risks and chasing late invoices (Net-60/90 delay structures), the Agency enforces an advance payment escrow framework. Brands must fund campaign spends prior to content shoot approvals. Net Creator payout balances (85% or 90% respectively) are secured safely in neutral escrows and released instantly to the Creator’s banking coordinates upon proof of post verification and brief validation.

4. Legal Rights, Content Licensing, & Deliverables

Every brokered deal includes clear legal provisions drafted by a professional:

  • Usage Licenses: Creators explicitly grant defined usage right licenses (e.g. 30-day organic reposting, paid ads amplification rights) only as specified in the individual brokered brand brief.
  • Content Exclusivity: Exclusivity parameters are legally capped to protect the Creator's future aesthetic matching capabilities.
  • Timeline Enforcements: Creators agree to meet submission schedules, allowing for human-brokered draft checks before publishing schedules occur.

5. Representation Status

Represented creators operate as independent contractors. This agreement does not constitute an employer-employee relationship. Creators retain full aesthetic controls over their channels and possess the final right to reject any brand deals proposed by the agency desk.
